Probably several people. Possibly dozens.
They’re pasting customer data into ChatGPT to draft a proposal. They’re uploading financial reports to an AI summarizer to prepare for a board meeting. They’re using a browser extension that routes their queries — and your company’s information — through servers in jurisdictions you’ve never reviewed.
They’re not being malicious. They’re being efficient. They found something that helps them work better and they’re using it. That’s exactly what you hired them to do.
The problem isn’t their intent. The problem is that your → AI governance framework almost certainly doesn’t know any of this is happening — and the exposure that creates is real, growing, and entirely manageable if you address it before something goes wrong.
The Scale of What You Can’t See
The data on shadow AI is striking. Research from 2025 found that 65% of AI tools operating inside organizations are running without IT approval. A separate study found that organizations dealing with shadow AI breaches pay an average of $670,000 more per security incident than those with governed AI use.
This isn’t a problem unique to large enterprises. Mid-market organizations are often more exposed, not less — because lean IT teams don’t have the bandwidth to monitor every tool adoption, and the culture of “find what works and use it” that makes mid-market organizations fast and adaptable also makes shadow AI nearly universal.
The conversation happening in enterprise boardrooms right now — about AI tool inventories, usage policies, and sanctioned alternatives — is a conversation mid-market CEOs need to have this quarter. Not because regulators are watching yet. Because the exposure is already there.
What Shadow AI Actually Exposes You To
Shadow AI creates three categories of risk that → traditional IT risk management wasn’t designed to address.
Data exposure. When an employee pastes customer information, financial data, or proprietary processes into a public AI tool, that data leaves your environment. Where it goes, how it’s stored, whether it’s used to train future models — these questions have answers that vary by tool, by version, and by terms of service that change without notice. Most employees don’t know the answers. Most organizations don’t either.
Compliance exposure. If you operate in healthcare, financial services, or any regulated industry — or if you handle data from EU customers — the AI tools your employees are using casually may be creating compliance violations you’re not aware of. HIPAA, GDPR, and emerging state AI regulations don’t have a “we didn’t know” exception.
Liability exposure. When an AI tool makes a decision or produces content that causes harm — an inaccurate summary, a biased recommendation, a hallucinated fact used in a client proposal — and that tool was never sanctioned or reviewed, the liability question gets complicated quickly. Who approved this tool? Nobody. Who reviewed its outputs? Nobody. Who owns the outcome? Your organization.
The Right Response Isn’t Prohibition
Here’s what doesn’t work: blanket bans on AI tool use.
Organizations that try to prohibit all unsanctioned AI use discover quickly that enforcement is nearly impossible and the attempt damages trust. Employees who found something useful don’t stop using it — they become more careful about hiding it. Shadow AI goes deeper underground.
The organizations managing this well take a different approach: they bring shadow AI into the light by providing better sanctioned alternatives and creating a governance structure that makes compliance easier than circumvention.
That approach has three components:
Inventory first. You cannot govern what you cannot see. A practical shadow AI inventory doesn’t require sophisticated tooling — it starts with a straightforward survey: what AI tools are people using, for what purposes, and with what data? The answers will be surprising. They’re always surprising. But they’re manageable once you know them.
Provide sanctioned alternatives. The reason employees use unapproved AI tools is that approved alternatives either don’t exist or don’t work as well. Identifying two or three enterprise-grade alternatives for the most common use cases — drafting, summarizing, data analysis — removes the motivation for shadow AI use more effectively than any policy.
Create a fast path for approval. When an employee finds a new AI tool they want to use, the question shouldn’t be “is this banned?” The question should be “how do we evaluate this quickly?” A lightweight review process — data handling assessment, security review, acceptable use confirmation — that takes days rather than months keeps governance current with how fast the AI landscape moves.
What This Looks Like in Practice
A $200M professional services firm discovered during a shadow AI inventory that fourteen different AI tools were in active use across their organization. Three of them were processing client data. Two of those three had terms of service that explicitly permitted using inputs for model training.
None of this was malicious. None of it was sanctioned. All of it was unknown to leadership before the inventory.
Their response: four weeks to complete the inventory and risk-rank the tools in use. Two weeks to identify sanctioned alternatives for the highest-risk use cases. One month to roll out a simple acceptable use policy with a fast-track approval process for new tools.
Total exposure time after implementation: near zero. Total disruption to employee workflows: minimal. The governance didn’t slow them down — it redirected the same energy into sanctioned channels.
